According to the terms of the agreement, a portion of the purchase price was paid in cash to the equity holders of Orma Health upon the closing of the transaction, another portion was paid in ApolloMed stock to the equity holders of Orma Health upon the closing of the transaction, and the remainder of the purchase price is to be paid in a combination of cash and stock to the equity holders contingent upon Orma Health achieving certain operational milestones over the 18 months after the closing.
