McKesson Signs Agreement to Acquire Rx Savings Solutions

McKesson Corporation announced that it has signed a definitive agreement to acquire Rx Savings Solutions a prescription price transparency and benefit insight company that offers affordability and adherence solutions to health plans and employers, reaching more than 17 million current patients. The transaction is valued up to $875 million, which includes a $600 million upfront payment and a maximum of $275 million of consideration contingent upon RxSS’ financial performance through calendar year 2025. The transaction is subject to customary closing conditions, including regulatory review, and is expected to close in the second half of Fiscal 2023. “Rx Savings Solutions’ offerings for employers and patients will strengthen McKesson’s ability to help solve the most common medication challenges related to access, affordability and adherence. We expect the acquisition of Rx Savings Solutions to accelerate McKesson’s growth priority in biopharma services by extending our ecosystem of differentiated medication access solutions to patients.
